Job Summary (includes but is not limited to the following, other duties may be assigned)
Unique opportunity to join a diverse, fast-paced and challenging in-house legal department and serve as a principal day-to-day commercial and finance attorney located in the Western Regional office, responsible for commercial contracting and financing for power plant, battery storage, solar and carbon capture and sequestration facilities in California, Oregon and Arizona.
Broad commercial and finance legal experience preferred, with energy, commercial contracting, project finance, tax equity, or real estate a plus. Will advise and assist on all aspects of commercial negotiations and financing for projects in all stages of development and operation, including, advising on power purchase agreements, state and local tax and regulatory matters, tax equity and tax credit arrangements, legal entity structuring, project finance, financial compliance and corporate issues. Will draft, review, and provide advice for commercial project agreements including, letters of intent, joint venture agreements, power purchase agreements, project finance agreements and tax equity agreements.
Required to have or develop familiarity but not primary responsibility for regulatory matters associated with commercial and finance agreements.
- Negotiate, draft, analyze and support the administration of power purchase and other complex energy agreements, tax matters, CEC, CPUC, CAISO regional grid and regional market design issues and other commercial arrangements required by commercial teams.
- Assist on structuring and closing construction, project finance and tax equity financing transactions, including due diligence, transaction documentation, regulatory approvals.
- Support tax credit monetization transactions, project financing and tax equity compliance, challenges and audits, and dispute matters arising from time to time.
- Support all legal financing and entity structuring aspects of complex energy development projects.
- Assist commercial and finance teams in interpreting and using legal/contractual obligations.
- Assist with creating and dissolving joint ventures, equity purchase transactions and other mergers and acquisition transactions.
- Manage outside counsel to maximize benefit and minimize costs.

Job Requirements

Salary Information
- Salary Range - $204,004.81- 260,106.14
